7. Intellectual Property

Ownership of Intellectual Property
All intellectual property rights, including but not limited to patents, trademarks, service marks, trade names, copyrights, database rights, design rights, and any other proprietary rights, whether registered or unregistered, in and to the Japaflex application and any associated documentation, code, content, designs, and materials (collectively, the "Japaflex IP") are and shall remain the exclusive property of Japaflex and its licensors. -
User-Generated Content
Users retain ownership of any content they post, upload, or otherwise make available through the Japaflex application ("User Content"). By submitting User Content, users grant Japaflex a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the operation of the Japaflex application and business, including for promoting and redistributing part or all of the Japaflex application in any media formats and through any media channels. -
License to Use Japaflex IP
Subject to the terms and conditions of this agreement, Japaflex grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Japaflex application for personal, non-commercial use only. Users may not:-
Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Japaflex application;

Decompile, reverse engineer, or disassemble the Japaflex application or any component thereof;

Use any automated means to access the Japaflex application for any purpose without the express written permission of Japaflex.

Infringement Claims
If users believe that any content in the Japaflex application infringes their intellectual property rights, they should notify Japaflex immediately by providing a detailed written notice that includes:-
A description of the intellectual property right that has been allegedly infringed;

A description of the allegedly infringing content and its location in the Japaflex application;

Contact information for the notifying party, including an address, telephone number, and email address;

A statement by the notifying party that they have a good faith belief that the use of the disputed content is not authorized by the intellectual property owner, its agent, or the law;

A statement that the information in the notification is accurate and, under penalty of perjury, that the notifying party is authorized to act on behalf of the owner of the intellectual property right that is allegedly infringed.

Termination of License
Japaflex reserves the right to terminate or suspend a user's license to use the Japaflex application immediately, without prior notice or liability, for any reason whatsoever, including without limitation if the user breaches any of the terms of this Intellectual Property clause. -
Reservation of Rights
All rights not expressly granted to users in this Intellectual Property clause are reserved by Japaflex and its licensors. Nothing in this agreement constitutes a waiver of Japaflex's rights under any applicable law.
By using the Japaflex application, users acknowledge that they have read, understood, and agree to be bound by the terms of this Intellectual Property clause.
8. Rights and Limits for Japaflex Ltd Terms of Service
1. User Rights:
a. You have the right to create and customize your profile with personal information, photos, and a bio.
b. You may use the platform to connect with other users, participate in forums and groups, and create or join events.
c. You have the right to control the visibility of your profile and personal information through provided privacy settings.
d. You may provide feedback and suggestions to improve the platform.
2. Japaflex Ltd Rights:
a. We reserve the right to moderate user-generated content and remove any content that violates our community guidelines or terms of service.
b. We may suspend or terminate accounts that engage in prohibited activities or violate our terms of service.
c. We retain the right to update and modify the platform, including adding or removing features, as part of our ongoing development and maintenance.
d. We may use anonymized user data for analytics and platform improvement purposes.
3. Limitations:
a. You may not use the platform for any illegal activities or to harass, bully, or discriminate against other users.
b. You are prohibited from creating false accounts or impersonating others.
c. You may not use the platform to distribute spam, malware, or engage in any activities that could compromise the security or integrity of the system.
d. The sharing of explicit or inappropriate content is strictly prohibited.
e. You may not attempt to access, collect, or store other users' personal information without their explicit consent.
f. Commercial use of the platform, including unauthorized advertising or solicitation, is not permitted without prior written consent from Japaflex Ltd.
4. Intellectual Property:
a. You retain ownership of the content you create and share on the platform.
b. By posting content on Japaflex, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, publicly display, reproduce, and distribute such content on our platform.
c. You may not use Japaflex's trademarks, logos, or other proprietary information without our express written permission.
5. Data and Privacy:
a. We commit to protecting your personal information as outlined in our Privacy Policy.
b. While we implement robust security measures, you are responsible for maintaining the confidentiality of your account credentials.

a. Japaflex Ltd is not responsible for the actions, content, information, or data of third parties.
b. We do not guarantee the accuracy, completeness, or usefulness of information on the platform.
c. Our liability is limited to the maximum extent permitted by applicable law.

Termination
1. Termination by User:
a. You may terminate your account at any time by following the account deletion process provided within the application.
b. Upon termination, your profile and personal content will be removed from active view on the platform.
c. You understand that some information may remain in our backup systems for a period of time in accordance with our data retention policies and applicable laws.
2. Termination by Japaflex Ltd:
a. We reserve the right to suspend, disable, or terminate your account if:
i. You violate our Terms of Service, Community Guidelines, or any applicable laws.
ii. We reasonably suspect fraudulent, abusive, or illegal activity associated with your account.
iii. Your actions pose a security risk to the platform or other users.
iv. You fail to respond to important account-related communications from us.
v. We are required to do so by law or in response to a legal request.
b. We will make reasonable efforts to notify you of account termination, except where prohibited by law or where we believe notice could cause harm or liability.
3. Effects of Termination:
a. Upon termination, you will lose access to your account and all associated features of the Japaflex platform.
b. Any content you've shared in public forums or groups may remain visible, but will be disassociated from your account.
c. We are not obligated to return any data to you after account termination.
d. Sections of the Terms of Service that, by their nature, should survive termination will remain in effect.
4. Data Retention and Deletion:
a. We will retain your personal data for as long as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
b. You may request deletion of your personal data, subject to any legal requirements that compel us to maintain certain records.
5. Reactivation:
a. If your account was terminated due to inactivity, you may be able to reactivate it by logging in within a specified period.
b. Accounts terminated for violations of our Terms of Service may not be eligible for reactivation.
6. Refunds and Credits:
a. Any paid services are non-refundable upon account termination, whether initiated by you or by us.
b. If we terminate your account for violations of our Terms of Service, you forfeit any credits or benefits associated with your account.
7. Intellectual Property:
a. The license you grant us to use content you've shared on the platform will cease upon account termination, except for content shared in public forums or groups.
b. We retain the right to use anonymized data derived from your account activity for analytics and platform improvement purposes.

This termination clause is designed to protect Japaflex Ltd's rights to maintain platform integrity and user safety, while also respecting user rights and data privacy. It addresses key aspects of the platform's functionality as described in the business requirements document, including user profiles, content sharing, and data management.
10. Limitation of Liability
1. General Limitation:
a. To the extent permitted by applicable law, including the UK GDPR, Japaflex Ltd, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
i. Your access to or use of or inability to access or use the Japaflex platform;
ii. Any conduct or content of any third party on the platform;
iii. Any content obtained from the platform;
iv. Unauthorized access, use, or alteration of your transmissions or content.
2. Liability Cap:
a. Our liability is not limited for:
i. Death or personal injury caused by our negligence;
ii. Fraud or fraudulent misrepresentation;
iii. Any other liability that cannot be excluded or limited under applicable law, including UK GDPR.
b. Subject to the above, our total liability to you for all other losses arising from or in connection with these terms or your use of Japaflex, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the greater of £100 or the amount you have paid Japaflex Ltd in the past twelve months.
3. User Interactions:
a. While we strive to maintain a safe platform, Japaflex Ltd is not responsible for the actions, content, information, or data of third parties. We do not control or direct users' actions on the platform and are not responsible for the content or information users transmit or share on Japaflex.
4. Platform Availability:
a. We aim to maintain 99.9% uptime as stated in our non-functional requirements. However, we do not guarantee uninterrupted, secure, or error-free operation of our platform.
5. Location-Based Services:
a. While we provide location-based services, we are not liable for any damages resulting from the use of or inability to use these features, except where such liability cannot be limited under UK GDPR or other applicable laws.
6. User-Generated Content:
a. We are not liable for any loss or damage resulting from any user-generated content, except where such liability cannot be limited under UK GDPR or other applicable laws.
7. Third-Party Links and Services:
a. Our platform may contain links to third-party websites or services that are not owned or controlled by Japaflex Ltd. We assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
8. Security and Data Protection:
a. We implement robust security measures as outlined in our non-functional requirements and in compliance with UK GDPR. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your personal data, we cannot guarantee its absolute security.
b. In the event of a personal data breach, we will notify you and the relevant supervisory authority in accordance with our obligations under UK GDPR.
9. Your Rights Under UK GDPR:
a. Nothing in this limitation of liability clause restricts or limits your rights under UK GDPR, including your right to lodge a complaint with the Information Commissioner's Office (ICO).
10. Indemnification:
a. You agree to defend, indemnify, and hold harmless Japaflex Ltd from and against any claims, liabilities, damages, losses, and expenses, arising out of or in any way connected with your access to or use of the platform or your violation of these Terms of Service, except where such indemnification would be contrary to UK GDPR or other applicable laws.
11. Applicable Law and Jurisdiction:
a. These terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
b. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms or their subject matter or formation (including non-contractual disputes or claims).

It addresses key aspects of the platform's functionality as described in the business requirements document, including user interactions, location-based services, and user-generated content, while also acknowledging users' rights under UK GDPR.
11. Governing Law
1. Applicable Law:
a. These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales.
b. This choice of law is without prejudice to the protections afforded to you by mandatory provisions of the law of the country in which you reside.
2. Jurisdiction:
a. Any disputes arising out of or relating to these Terms of Service or your use of Japaflex shall be subject to the exclusive jurisdiction of the courts of England and Wales.
b. Notwithstanding the above, you may also be able to pursue claims in your local courts if mandatory local law permits this.

9. Entire Agreement:
a. These Terms of Service constitute the entire agreement between you and Japaflex Ltd regarding your use of the platform and supersede any prior agreements between you and Japaflex Ltd relating to your use of the Japaflex platform.
