1. About these Terms
1.1 These Supplemental Terms ("Hub Terms") govern your access to and use of the Hustle Hub (the "Hub"), a feature within the Japaflex application and website (the "Platform") operated by Japaflex Ltd, a company registered in England and Wales (company number 15603299), registered office Victoria Building, Victoria Road, Middlesbrough ("Japaflex", "we", "us", "our").
1.2 The Hub Terms form part of and are incorporated into the Japaflex Terms of Service ("Master Terms") available at Japaflex Terms and Conditions. The Master Terms continue to apply to all your use of the Platform. Where the Hub Terms conflict with the Master Terms in relation to Hub activity, the Hub Terms prevail.
1.3 By accessing the Hub, creating a Listing, responding to a Listing, or otherwise transacting through the Hub, you accept the Hub Terms. If you do not accept them, do not use the Hub.
1.4 We may amend the Hub Terms. Material changes will be notified to you in-app or by email not less than [14] days before they take effect. Continued use of the Hub after the effective date constitutes acceptance. If you do not accept a change, you must stop using the Hub and may close your Hub profile.
2. Definitions
"Buyer" - a User who purchases, engages, books or seeks to acquire Goods or Services through the Hub.
"Goods or Services" - any item, product, gig, task, skill, service, event or opportunity offered through the Hub.
"Hub Transaction" - any agreement, arrangement or dealing between a Seller and a Buyer arising from or connected to the Hub, concluded off the Platform.
"Listing" - any post, advertisement, offer, profile entry or other content published by a Seller on the Hub.
"Seller" - a User who publishes a Listing or offers Goods or Services through the Hub.
"User", "you" - any person accessing the Hub. A User may be a Buyer, a Seller, or both.
"User Content" - any text, image, video, audio, review, message, listing or other material submitted to the Hub by a User.
"Verification Tier" - the level of identity assurance assigned to your account under clause 5.
3. Our role: Venue, not party
3.1 We are an intermediary. The Hub is a venue that allows Users to discover one another and to arrange Hub Transactions between themselves. Japaflex is not a party to any Hub Transaction.
3.2 We are not the seller, supplier, employer, agent, broker, insurer, escrow agent or guarantor of any Seller, Buyer, Goods or Services. We do not own, produce, inspect, test, deliver, perform, warrant or endorse any Goods or Services listed on the Hub.
3.3 The contract for any Goods or Services is formed exclusively between the Buyer and the Seller. All rights and obligations arising from that contract - including price, delivery, quality, performance, refunds, cancellation, warranties and after-sales support - rest solely with the Buyer and the Seller.
3.4 Nothing in the Hub Terms creates any partnership, joint venture, agency, franchise, employment or worker relationship between Japaflex and any User. Sellers act as independent principals on their own account.
3.5 Any facilitation we provide - including search ranking, category placement, verification badges, messaging tools, dispute reporting channels or promotional features - is provided for convenience only and does not make us a party to, or responsible for, any Hub Transaction.
4. Eligibility
4.1 You must be at least 18 years old to use the Hub. This applies regardless of the minimum age for other parts of the Platform.
4.2 You must have full legal capacity to enter binding contracts and must not be barred from using the Hub under the laws of any jurisdiction applicable to you.
4.3 If you use the Hub on behalf of a company, partnership or other organisation, you warrant that you have authority to bind that entity, and "you" includes that entity.
4.4 You must not have been previously suspended or removed from the Hub, unless we have expressly reinstated you in writing.
5. Verification and account integrity
5.1 Access to Hub functionality is tiered according to your Verification Tier. Higher tiers unlock additional features, higher transaction visibility and additional trust signals. The current tier structure and its benefits are set out and may be amended by us.
5.2 To attain a Verification Tier you may be required to submit identity information, which may include government-issued identification, a facial biometric check, proof of address, a Bank Verification Number (BVN), a National Identification Number (NIN), or business registration details.
5.3 Verification checks are carried out by third-party identity providers on our behalf. By submitting verification information you consent to it being shared with and processed by those providers. Processing is described in our Privacy Notice.
5.4 Verification is not a guarantee. A Verification badge indicates only that specified checks returned a result consistent with the information supplied at the time of the check. It is not a statement by Japaflex that a User is trustworthy, solvent, competent, insured, qualified, licensed, or that their Goods or Services are safe, lawful or of satisfactory quality. You must exercise your own judgement in every Hub Transaction.
5.5 You must provide accurate, current and complete information and must update it promptly when it changes. You must not create multiple accounts to evade limits, suspensions or Verification requirements, impersonate any person or business, or allow any other person to use your account.
5.6 We may re-verify, downgrade or suspend a Verification Tier at any time where we have reasonable grounds to believe information is inaccurate, outdated, fraudulent, or where a check subsequently fails.
6. Seller obligations
6.1 As a Seller you warrant, on each occasion you publish or maintain a Listing, that:
(a) you have the legal right to offer the Goods or Services;
(b) the Listing is accurate, complete and not misleading, including as to price, condition, availability, location and delivery;
(c) you hold and will maintain every licence, registration, permit, qualification, insurance and regulatory approval required for the Goods or Services in every jurisdiction where you offer or perform them;
(d) the Goods or Services and their supply comply with all applicable laws, including consumer protection, product safety, food safety, health and safety, immigration, financial services, data protection and advertising law;
(e) you will perform or supply in accordance with the terms you have advertised; and
(f) your use of the Hub does not infringe the intellectual property, privacy or other rights of any third party.
6.2 Trader status. If you are acting for purposes relating to your trade, business, craft or profession, you are a trader. Traders must clearly identify themselves as such and must comply with all obligations owed to consumers, including pre-contract information, the right to cancel where applicable, and statutory rights as to quality and description. You are solely responsible for determining and disclosing your status.
6.3 Tax. You are solely responsible for determining, reporting and paying all taxes, levies and contributions arising from your Hub activity, including income tax, National Insurance, VAT and any equivalent obligations in your jurisdiction. Japaflex does not provide tax advice.
6.4 Reporting to tax authorities. You acknowledge that we may be required by law to collect information about you and your Hub activity, including your name, address, date of birth, tax identification number and transaction totals, and to report it to HM Revenue & Customs or to other tax authorities, and to provide you with a copy of the reported information. You agree to supply the information we request for this purpose.
6.5 Insurance. You are responsible for obtaining and maintaining appropriate insurance for your Hub activity, including public liability and professional indemnity cover where relevant. Japaflex provides no insurance to any User.
7. Buyer obligations
7.1 You are responsible for satisfying yourself, before entering a Hub Transaction, as to the identity, suitability, competence, credentials and reliability of the Seller and as to the fitness, legality and quality of the Goods or Services.
7.2 You must comply with the terms agreed with the Seller, including payment, access, cancellation and any site or safety requirements.
7.3 Where you meet a Seller in person, you do so at your own risk. We strongly recommend meeting in a public place, telling a trusted contact where you are going, and using any in-app safety features we make available. Japaflex has no control over and accepts no responsibility for offline conduct.
8. Prohibited Goods, Services and conduct
8.1 You must not list, offer, solicit, advertise or transact in:
(a) anything unlawful in any jurisdiction where it is offered, supplied, performed or received;
(b) weapons, ammunition, explosives, or their components;
(c) controlled drugs, precursor chemicals, psychoactive substances, prescription medicines, or unlicensed medical devices, treatments or health claims;
(d) tobacco, vaping products, alcohol, or age-restricted items, other than where you hold every required licence and operate age verification;
(e) sexual services, adult or pornographic material, or escort services;
(f) human trafficking, forced labour, illegal employment, or any offer conditioned on immigration status;
(g) immigration, legal, financial, investment, tax, medical or veterinary advice, unless you are appropriately qualified, regulated and insured to provide it;
(h) money transfer, currency exchange, remittance, deposit-taking, lending, credit broking, insurance, crypto-asset exchange, or any other regulated financial activity, unless you hold the required authorisation;
(i) lotteries, raffles, gambling, prize competitions, or any pyramid, matrix, chain or multi-level marketing scheme;
(j) counterfeit, stolen, smuggled or replica goods, or anything infringing intellectual property;
(k) live animals, endangered species, or products derived from them;
(l) personal data, contact lists, account credentials, identity documents, or verification services;
(m) academic work for submission by another, or any service designed to deceive an assessor, employer or authority;
(n) anything we designate as prohibited in the Hub Community Guidelines.
8.2 You must not:
(a) misrepresent yourself, your Goods or Services, your Verification Tier, or your affiliation with any person or organisation;
(b) manipulate rankings, reviews, ratings or engagement metrics, or solicit false reviews;
(c) harass, threaten, defraud, discriminate against, stalk or endanger any User;
(d) use the Hub to distribute malware, spam, or unsolicited commercial communications;
(e) scrape, crawl, index or extract Hub data by automated means without our written consent;
(f) reverse engineer, decompile or attempt to derive the source code of the Platform;
(g) interfere with the operation, security or integrity of the Platform;
(h) use the Hub to circumvent sanctions, export controls, or anti-money laundering requirements.
8.3 Circumvention. Where a Hub Transaction is initiated on the Hub,we are not responsible for the payments, execution of service or meet-up amongst individuals. This clause does not prevent Users from performing or delivering Goods or Services offline where that is the nature of what is being supplied.
9. Fees and payments
9.1 Creating a Hub profile is free unless we state otherwise. We may charge fees for Listings, promotion, subscription tiers, or a commission on Hub Transactions. Current fees will be available in the verification tabs in our app
9.2 We may change fees on not less than [30] days' notice. Changes do not affect Listings already published and paid for.
9.3 We are not a payment platform and hence, do not handle any payouts or collect funds on vendor’s behalf. Japaflex does not hold client money, does not issue electronic money, and does not act as a payment institution.
9.4 Where payment is arranged directly between Buyer and Seller, we have no involvement in, visibility of, or responsibility for that payment.
9.5 Fees paid to Japaflex are non-refundable except where required by law or where we cancel a paid service for reasons other than your breach.
9.6 You are responsible for any chargeback, reversal, penalty or bank charge arising from a payment you make or receive, and we may recover from you any amount we incur as a result.
10. User Content and licence
10.1 You retain ownership of your User Content.
10.2 You grant Japaflex a worldwide, non-exclusive, royalty-free, sub-licensable and transferable licence to host, store, reproduce, adapt, publish, translate, display and distribute your User Content for the purposes of operating, promoting and improving the Platform. This licence continues for as long as your User Content remains on the Platform and for a reasonable period afterwards for backup, legal and record-keeping purposes.
10.3 You warrant that you own or have all necessary rights in your User Content and that it does not infringe any third-party right or breach any law.
10.4 We do not pre-moderate User Content. We may, but are not obliged to, review, edit, refuse, remove, restrict, de-rank or disable access to any User Content at our discretion, including where we consider it unlawful, harmful, misleading, in breach of these Hub Terms, or damaging to the Platform.
10.5 Reviews and ratings. Reviews must reflect a genuine transaction and your honest experience. We may remove reviews that are fabricated, incentivised, abusive, irrelevant, or which disclose personal data. We do not verify the accuracy of reviews and they do not represent our views.
11. Intellectual property
11.1 The Platform, including the Hub, and all software, design, text, graphics, trade marks and other material provided by us, is owned by or licensed to Japaflex and protected by intellectual property laws.
11.2 We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Hub for its intended purpose in accordance with these Hub Terms. No other rights are granted.
11.3 You must not use the Japaflex name, logo or branding without our prior written consent, except to identify that you offer Goods or Services via the Hub.
12. Disputes between Users
12.1 Disputes arising from a Hub Transaction are between the Buyer and the Seller. You must resolve them directly with the other party.
12.2 We may, entirely at our discretion, provide reporting tools, share limited information between disputing Users where lawful, or take enforcement action against an account. Doing so does not make us a party to the dispute, does not create any duty to intervene in any other case, and does not constitute adjudication of the dispute.
12.3 You agree to release Japaflex, and our officers, employees, agents and affiliates, from all claims, demands and damages of every kind arising out of or connected with any dispute between you and another User.
12.4 Nothing in this clause prevents you from pursuing any legal remedy against the other User, or from exercising statutory rights you have as a consumer.
13. Suspension, restriction and termination
13.1 We may suspend, restrict, downgrade or terminate your access to the Hub, remove Listings, withhold Verification, or close your account, with immediate effect and without compensation, where:
(a) you breach the Hub Terms, the Master Terms or the Community Guidelines;
(b) we reasonably suspect fraud, money laundering, unlawful conduct or risk to other Users;
(c) we are required to do so by law, regulator, court or payment provider;
(d) your conduct exposes Japaflex to legal, financial or reputational risk; or
(e) your account has been inactive for an extended period.
13.2 Where reasonably practicable and lawful, we will give you notice and reasons and an opportunity to respond. We are not required to do so where notice would be unlawful, would compromise an investigation, or would create a risk to other Users.
13.3 You may stop using the Hub at any time and may request closure of your Hub profile. Closure does not affect obligations you have already incurred under any Hub Transaction, or fees already due.
13.4 Clauses 3, 6.3, 6.4, 10.2, 12.3, 14, 15, 16, 17 and 19 survive termination.
14. Disclaimers
14.1 The Hub is provided on an "as is" and "as available" basis.
14.2 To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms implied by statute, common law or otherwise in relation to the Hub, including as to satisfactory quality, fitness for purpose, accuracy and non-infringement.
14.3 We do not warrant that the Hub will be uninterrupted, error-free, secure, or free of viruses, or that defects will be corrected. We may modify, suspend or discontinue any part of the Hub at any time.
14.4 We make no representation and give no warranty as to:
(a) the identity, honesty, solvency, competence, credentials, qualifications or conduct of any User;
(b) the existence, legality, quality, safety, description, value or fitness of any Goods or Services;
(c) the accuracy or completeness of any Listing, review or User Content;
(d) whether any Hub Transaction will be completed, or completed satisfactorily.
14.5 Any content we provide for information, including guides, templates, pricing suggestions, safety tips or category descriptions, is general in nature and does not constitute legal, financial, tax, immigration, employment or professional advice.
15. Limitation of liability
15.1 Nothing in these Hub Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot be limited or excluded under applicable law, including the Consumer Rights Act 2015 where you deal as a consumer.
15.2 Subject to clause 15.1, and to the fullest extent permitted by law, we are not liable to you for:
(a) any act or omission of any other User;
(b) any Hub Transaction, or the failure of any Hub Transaction;
(c) any loss or damage arising from your reliance on a Listing, review, Verification badge or other User Content;
(d) any offline meeting, delivery, performance or interaction between Users;
(e) loss of profit, revenue, business, contracts, anticipated savings, goodwill or reputation;
(f) loss or corruption of data;
(g) any indirect or consequential loss.
15.3 Subject to clause 15.1, our total aggregate liability to you arising out of or in connection with the Hub, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of (a) the total fees you paid to Japaflex in respect of the Hub in the twelve months preceding the event giving rise to the claim, and (b) £100.
15.4 If you are a consumer: clause 15.2 does not exclude our liability for foreseeable loss caused by our breach of these Hub Terms or our failure to use reasonable care and skill, and clause 15.3 does not apply to such liability. We remain not liable for the acts or omissions of other Users or for the subject matter of Hub Transactions, to which we are not a party.
15.5 If you are a business User: clauses 15.2 and 15.3 apply in full, and you acknowledge that the allocation of risk they reflect is reasonable given the nature of the Hub and the fees charged.
16. Indemnity
16.1 This clause 16 applies only where you use the Hub for purposes relating to your trade, business, craft or profession. It does not apply to Users acting as consumers.
16.2 You will indemnify and hold harmless Japaflex, its officers, directors, employees, contractors and affiliates against all liabilities, losses, damages, fines, penalties, claims, demands, proceedings and reasonable costs (including reasonable legal fees) arising out of or in connection with:
(a) your breach of these Hub Terms, the Master Terms or the Community Guidelines;
(b) your User Content, including any claim that it infringes a third-party right;
(c) any Goods or Services you offer, supply, receive or perform through the Hub;
(d) any Hub Transaction to which you are a party, and any dispute or claim brought by another User in relation to it;
(e) your breach of any law or regulation, including consumer protection, product safety, tax, data protection, employment and licensing requirements;
(f) any claim that you are or were an employee, worker or agent of Japaflex;
(g) any tax, levy or contribution assessed against Japaflex in respect of your Hub activity.
16.3 We will notify you promptly of any claim to which this indemnity applies, will not settle it without your consent (not to be unreasonably withheld), and will give you reasonable assistance at your cost in defending it.
16.4 Where you are a consumer, you remain liable to us for loss we suffer as a result of your breach of these Hub Terms, but only to the extent that such loss was a foreseeable consequence of your breach, and only in accordance with the general law.
17. Data protection
17.1 We process personal data in accordance with our Privacy Notice at Japaflex Privacy Policy, the UK General Data Protection Regulation and the Data Protection Act 2018, and, where applicable, the Nigeria Data Protection Act 2023.
17.2 Where you receive personal data of another User, including names, contact details, addresses or delivery information, you act as an independent controller of that data. You must:
(a) use it only for the purpose of the relevant Hub Transaction;
(b) comply with applicable data protection law in your own right;
(c) not use it for marketing without a lawful basis and appropriate consent;
(d) keep it secure and delete it when no longer needed;
(e) respond to any data subject request you receive; and
(f) notify us without undue delay of any personal data breach involving data obtained through the Hub.
17.3 You will indemnify us in accordance with clause 16 for any regulatory action, fine or claim arising from your breach of clause 17.2, where clause 16 applies to you.
18. Illegal and harmful content
18.1 We operate reporting mechanisms allowing Users to report Listings, content or conduct that is illegal or harmful. Reports can be made via the in-app report function.
18.2 We will review reports and take proportionate action, which may include removal of content, restriction of accounts, and referral to law enforcement.
18.3 We may disclose User information to law enforcement, regulators or other authorities where we are required to do so, or where we reasonably believe disclosure is necessary to prevent or investigate a crime, protect the safety of any person, or protect our rights.
18.4 Where we remove content or restrict an account, we will notify the affected User and provide a route to appeal, unless notification would be unlawful or would create a risk to another person.
19. General
19.1 Entire agreement. The Hub Terms, together with the Master Terms, Privacy Notice and Community Guidelines, constitute the entire agreement between us in relation to the Hub and supersede all prior representations, save that nothing excludes liability for fraudulent misrepresentation.
19.2 Assignment. We may assign or transfer our rights and obligations under the Hub Terms, including on a sale or reorganisation of our business. You may not assign yours without our prior written consent.
19.3 Third-party rights. Except as expressly stated, no person other than you and Japaflex has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Hub Terms. Clause 16 is enforceable by our officers, directors, employees and affiliates.
19.4 Severance. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions continue in force.
19.5 No waiver. Our failure to enforce any provision is not a waiver of it.
19.6 Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
19.7 Notices. We may give notice by in-app message, by email to your registered address, or by publication on the Platform. You may contact us at support@japaflex.com or Victoria Building, Victoria Road, Middlesbrough, TS1 3JN.
19.8 Governing law. The Hub Terms and any dispute arising from them are governed by the law of England and Wales. If you are a consumer resident outside England and Wales, you also benefit from any mandatory protections of the law of your country of residence, and nothing in this clause deprives you of them.
19.9 Jurisdiction. The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of your country of residence, and we will bring proceedings against you only there.
19.10 Language. These Hub Terms are drafted in English. Any translation is provided for convenience and the English version prevails.
